OLIVE YOUNG GLOBAL MALL MEMBERSHIP SERVICE OPERATION POLICY

Article 1 (Objective)

  1. 1. OY Members (“Program”) is a free membership program offered in connection with OLIVE YOUNG Global by CJ Olive Young Corporation (the “Company”), to its customers located in the regions covered by OLIVE YOUNG Global Mall (excluding local Olive Young stores in the Republic of Korea) (“Regions”).
  2. 2. Member(s) (“Member(s)”) who request to join the Program by creating an account (“Account”) in accordance with the instructions below are deemed to have read, understood, and agreed to this Olive Young Global Mall Membership Service Operation Policy (“Membership Policy”).

Article 2 (Membership; Eligibility)

  1. 1. Participation in the Program (“Membership”) is limited to individuals only and (1) Account per individual.
  2. 2. To be eligible for Membership, a Member must be at least sixteen (16) years of age and a lawful resident of their respective Region. Eligible minors must obtain the prior consent of their parent or legal guardian prior to participation.
  3. 3. To participate in the Program, Members must create an Account. To create an Account, visit https://global.oliveyoung.com/display/page/membership (“Membership Page”) and follow the onscreen instructions. In connection with participation in the Membership, Members may be required to provide certain personal information as set forth in the Mall’s Privacy Policy, available at [https://global.oliveyoung.com/foot-info/footer-contents?foterMenuSeq=16].
  4. 4. The Company reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Company, including, without limitation, government issued photo identification), for the purposes of verifying Members’ eligibility to participate in the Program and/or for any other reason the Company deems necessary, in its sole and absolute discretion, for the purposes of administering the Program in accordance with this Membership Policy.
  5. 5. Failure to provide such proof to the Company’s satisfaction in a timely manner may result in the cancellation of the Account and, subject to applicable law, the forfeiture of any Points associated with the Account.
  6. 6. Any Account-related matters that are not directly arising from the Membership shall be governed by the General Terms and Conditions for OLIVE YOUNG Global Mall (the “Mall”).

Article 3 (Members’ Representations; Amendment to Membership Policy)

  1. 1. By creating an Account and applying for the Membership, Members shall be deemed to have agreed (i) that they have read, understood, and agreed to this Membership Policy, (ii) that they satisfy the eligibility requirements set forth in this Membership Policy, (iii) to be bound by the terms set out in this Membership Policy, and (iv) that this Membership Policy shall take effect accordingly.
  2. 2. The Company may, in its sole discretion, alter, limit, modify, suspend, terminate or cancel this Membership Policy, including, without limitation, any terms and conditions set forth in Exhibit attached hereto, the Tier rules, regulations, benefits, eligibility for the Membership, or any other feature of a particular Tier. The Company further reserves the right to terminate any Tier at any time, in its sole discretion, except to the extent expressly set out in this Membership Policy or required by applicable law.
  3. 3. Should any modification be made to this Membership Policy, the Company shall announce the effective date and the reasons for such modification at least seven (7) days prior to the effective date by posting a notice on the main page of the Mall website and by notifying Members via email; provided, however, that in the case of a modification that is unfavorable to Members, the announcement shall be made at least thirty (30) days prior to the effective date. In such cases, the Company shall present the details of the modification in a reasonable manner that enables Members to understand the nature and impact of the modification.
  4. 4. If the Company notifies Members of the information on the modification via email sent to the email address registered by the Members, such notification shall be deemed proper and effective.
  5. 5. Any Member who does not agree to the modified terms may request to terminate their Account before the effective date of the modification. Continued participation in the Program after such effective date shall be deemed the Member’s consent to the modified terms and conditions of the Membership Policy.

Article 4 (Membership Tiers)

  1. 1. The rate at which a Member earns Points and other benefits in the Program is determined by the Member’s membership tier (“Tier”).
  2. 2. The Program may consist of one (1) or more Tiers, as set forth in Exhibit. Each Member shall be assigned to a Tier based on the Member’s purchase performance during the applicable evaluation period. Upon signing up, each Member shall automatically be assigned to the initial default Tier, which the Member shall retain indefinitely unless and until the Member satisfies the minimum purchase performance requirements (“Purchase Requirements”) necessary to advance to a higher Tier.
  3. 3. Tier status is determined and assigned based on the Member’s purchase performance over a six-month period, meaning the first half of the year from January 1 to June 30 or the second half from July 1 through December 31 (“Regular Tier Adjustment”). If a Member’s purchase performance during such period satisfies the Purchase Requirements for advancement to a higher Tier or fails to satisfy the Purchase Requirements for the current Tier, the Member will be assigned a new Tier on the first day of January (based on purchase performance in the second half of the preceding year) or July (based on purchase performance in the first half of the current year), as applicable. In the event that January 1 or July 1 falls on a public holiday, the Regular Tier Adjustment shall take effect on the immediately following business day.
  4. 4. Each Member’s purchase performance shall be calculated based solely on orders that are, or have been, in the “In-Transit” status as of the day prior to the Tier Adjustment or Immediate Upgrade, as applicable. For purposes of this Membership Policy, “Purchase Amount” means the actual purchase price of such qualifying orders, excluding any cancelled or refunded amounts, orders, coupon discounts, payments made with reward points, taxes (e.g., GST or VAT), and shipping or delivery fees.
  5. 5. The Purchase Requirements for modifications of Tier status shall be as set forth in Exhibit. If a Member’s purchase performance satisfies the applicable Purchase Requirements for advancement to a higher Tier after the Regular Tier Adjustment date in January or July, as applicable, the Member may be upgraded immediately without waiting for the next Regular Tier Adjustment date (“Immediate Upgrade”). The Immediate Upgrade shall take effect at 12:00 AM (KST) on the day immediately following the Member’s satisfaction of such Purchase Requirements.
  6. 6. Following the completion of the Tier assignments pursuant to Paragraphs (c) through (f) of Article 4, the Company shall promptly notify Members of their respective Tier status via email.
  7. 7. The validity period of each Tier shall be as follows:
    1. 1) Regular Tier Adjustment: For Tier assignments made on January 1, the Tier shall remain valid through June 30 of the same year. For Tier assignments made on July 1, the Tier shall remain valid through December 31 of the same year.
    2. 2) Immediate Upgrade: Notwithstanding Subparagraph 1) above, If the Immediate Upgrade occurs during the first half of the year, the upgraded Tier shall remain valid through December 31 of the same year. If the immediate upgrade occurs during the second half of the year, the upgraded Tier shall remain valid through June 30 of the following year. In all cases, the validity period of a Tier shall not exceed one (1) year from the date of assignment.

Article 5 (Membership Benefits)

  1. 1. All Tiers enjoy a variety of benefits made available by the Mall in its sole discretion from time to time (“Benefits”). Benefits may vary by Tier and certain Tiers may be entitled to greater Benefits than others.
  2. 2. The terms and conditions of the Benefits applicable to each Tier shall be as set forth in Exhibit. Benefits may change on a promotional and seasonal basis, and the Company reserves the right, in its sole discretion, to modify, update, or discontinue any Benefits or their terms and conditions at any time.

Article 6 (Earning and Redeeming Membership Points)

  1. 1. Members are eligible to earn points under the Program (“Points”) based on their purchase of products through the Mall website at https://global.oliveyoung.com/. The terms and conditions applicable to Points and the accrual thereof shall be as set forth in Exhibit.
  2. 2. Any Points not redeemed by the earlier of (i) two (2) years from the date of accrual and (ii) the termination of the Member’s Account shall expire and shall no longer be redeemable. Points are non-transferable, have no cash value, and are not redeemable for cash or cash equivalents.
  3. 3. All Points redemptions require a qualifying purchase. To earn or redeem Points online, Members must sign into their Accounts prior to completing the transaction. Members may view their current Points balance and transaction history by logging into the Accounts.

Article 7 (Indemnity)

  1. 1. The Company shall not be held liable for any damages for which the Member is responsible.
  2. 2. With respect to any information, data, or content posted by a Member or third party, the Company provides no representations or warranties regarding its accuracy, completeness, safety, or legality, including whether such content infringes upon third-party rights. The Company shall not be responsible for the intentions of Members or third parties in connection with any transactions.
  3. 3. The Company shall not be responsible for any damages arising from its inability to perform obligations due to force majeure events, including but not limited to natural disasters.
  4. 4. If the Company provides services pursuant to any contract executed with an affiliate site, the Company shall not be liable for any damages arising from the services provided by such affiliate site.

Tiers; Benefits; Points

1. Tiers and Purchase Requirements

  1. 1. Tiers and Purchase Requirements: The Membership shall consist of the following five (5) Tiers, each with its respective Purchase Requirements as set forth below.
    1. 1) BABY OLIVE: Immediately after signing up or Purchase Amount US$0
    2. 2) PINK OLIVE: Purchase Amount US$1~119.99
    3. 3) GREEN OLIVE: Purchase Amount US$120~179.99
    4. 4) BLACK OLIVE: Purchase Amount US$180~299.99
    5. 5) GOLD OLIVE: Purchase Amount over US$300
  2. 1. Initial Default Tier: Upon signing up, each Member shall automatically be assigned to the BABY OLIVE Tier, which the Member shall retain indefinitely unless and until the Member the Purchase Requirements necessary to advance to a higher Tier.

2. Benefits

  1. 1. Tiers and Benefits: The Tiers and associated Benefits are set forth in the table below. This information is also available on the Membership Page.

  2. 2. First Order Coupon: The first order coupons shall be issued only to Members who are assigned to the BABY OLIVE Tier for the first time (i.e., immediately upon initial signing up). Such coupons shall be valid for a limited time only.
  3. 3. Birthday Gift: Members in the PINK OLIVE, GREEN OLIVE, BLACK OLIVE, and GOLD OLIVE Tiers (excluding BABY OLIVE) shall receive a birthday gift of 10 Points once per calendar year, to be awarded on their registered date of birth. Eligibility for the birthday gift is determined seven (7) days prior to the registered date of birth (the “Birthday Gift Eligibility Date”). Accordingly, only Members who have registered their date of birth in the “My Account” section by at least eight (8) days prior to their date of birth (i.e., no later than the day before the Birthday Gift Eligibility Date) will be eligible to receive the birthday gift.
  4. 4. Membership Coupon: Members in the PINK OLIVE, GREEN OLIVE, BLACK OLIVE, and GOLD OLIVE Tiers (excluding BABY OLIVE) shall receive two (2) coupons per half-year period. The discount rates applicable to each Tier’s coupons are set forth in the table in Paragraph (a) of Article 5. These coupons apply to individual products only, and the specific discount details and validity periods are as specified on each coupon. In the event of progressive Tier upgrades within the same half-year period (e.g., PINK OLIVE → GREEN OLIVE → BLACK OLIVE), Members shall receive coupons corresponding to each new Tier upon each upgrade. Any unused coupons received for a previous Tier prior to the upgrade shall become void and may not be used.
  5. 5. OY Member’s Week Coupon: The OY Member’s Week promotion is held every month. During this period, OY Member’s Week coupon will be issued once per Account according to the Member’s Membership Tier.

3. Points

  1. 1. Accrual of Points: Points shall accrue at a rate ranging from 0.5% to 2.5%, depending on the Member’s Tier as set forth below, and shall be calculated based on the Purchase Amount.
